UCMdraft

Terms of Service

Effective October 31, 2026

These terms are an agreement between you (and the company you work for, if you sign up for it) and UCMdraft ("UCMdraft", "we", "us") for the use of ucmdraft.com and the UCMdraft application (the "Service"). By creating an account or using the Service, you agree to these terms and to our Privacy Policy.

1. What UCMdraft is, and what it is not

UCMdraft reads roadway plan sheets you provide and produces draft utility conflict matrix rows, including measured stations and offsets, for a qualified person to review. It does not provide engineering services or engineering determinations. Every row, station, offset, clearance and conflict must be checked by a qualified Engineer of Record or utility coordinator before it is used, submitted or relied on. You are responsible for reviewing and verifying all output and for decisions made with it.

UCMdraft is independent software. It is not affiliated with, sponsored by or endorsed by any state department of transportation, utility owner or government agency.

2. Accounts

3. Plans, trial and billing

4. Your content

You keep all rights to the plan sheets you upload and the rows and exports you create ("Your Content"). You give us permission to process Your Content only as needed to provide the Service to you, including sending sheet pages to our AI provider as described in the Privacy Policy. We don't use Your Content for any other purpose, and we don't use it to train AI models ourselves; our AI provider handles it under its own terms, as the Privacy Policy explains.

You confirm that you have the right to upload the plan sheets you use, including any permission required by your client or the plan owner, and that doing so does not break any confidentiality obligation you have.

5. Confidentiality

We treat Your Content as confidential. We won't disclose it to anyone except the service providers who process it for us (listed in the Privacy Policy), people on your team, or when required by law. Uploaded PDFs are held in memory only while you work and for no more than 4 hours.

6. Acceptable use

Don't: use the Service for anything unlawful; upload content you have no right to use; try to access other people's accounts or data; probe, overload or disrupt the Service; reverse-engineer it except as the law allows; resell or share access outside your seats; or use it to build a competing product. We may suspend accounts that break these rules.

7. Our service

We own the Service, including its software, design and the UCMdraft name. We may improve and change features over time. We aim to keep the Service available but do not guarantee uninterrupted access; maintenance and updates may briefly interrupt it, and an update can end an open working session, in which case your saved rows remain and you can re-attach the PDF.

8. Disclaimer

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". AI-generated and measured results can be incomplete or wrong. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW: (a) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, DESIGN OR CONSTRUCTION COSTS, DELAYS OR CLAIMS ARISING FROM RELIANCE ON UNVERIFIED OUTPUT; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnity

You agree to defend and hold us harmless from claims by third parties arising from Your Content, your use of the output without proper professional review, or your breach of these terms.

11. Ending the agreement

You can stop using the Service and cancel at any time. We may suspend or close an account for serious or repeated breach of these terms, or for non-payment. When an account is closed, you can ask us within 30 days for an export of your project rows; after that we may delete them as described in the Privacy Policy.

12. Changes to these terms

We may update these terms. We will change the date above and, for significant changes, notify account holders by email or in the app at least 15 days before they take effect. Continuing to use the Service after that means you accept the new terms.

13. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Florida, and both parties consent to that jurisdiction.
